Mongolia keeps one authority where the United States keeps several. The General Authority for State Registration records legal entities, immovable property and civil status alike, which means a single office issues the certificate proving a company exists, the certificate proving who owns a building, and the certificate proving when a child was born. American filers meet that fact as confusion. A lawyer looking for a secretary of state filing, a county recorder deed and a state vital records certificate is handed three papers from the same registry, in a near identical format, under a comparable seal, and assumes the set is incomplete. The set is usually fine. What is missing is a translation that tells the reader which register each certificate came out of and what that register is competent to prove.
Three groups send us this pair. Mining, energy and commodities counsel come first, normally with a licence file, an investment agreement or an arbitration bundle tied to an asset in the South Gobi. The vehicle behind most transactions is the limited liability company, written KhKhK after the company name, governed by the Company Law of 2011 and resting on the general obligations of the Civil Code of 2002. Its charter carries what an American reader expects to find split between a certificate of incorporation and an operating agreement: classes of shares, the matters reserved to the shareholders meeting, the mandate of the executive director, and the thresholds above which a resolution is required before anything binds. Reading that charter as though it were a Delaware document is where transactions come apart, because the executive director's authority is defined by statute and charter rather than presumed from the title. Start with what a Mongolian document physically carries, because that decides everything that follows. On a civil status certificate you find a register number alongside the seal of the state registration office that issued it. A company charter shows the registration stamp and very often a notarial attestation as well, since Mongolian practice routes a wide range of private instruments through a notary: property transfers, powers of attorney, wills, consents, corporate papers used in dealings with the state. A licence certificate bears the mineral resources authority's own seal. Papers leaving the country for use abroad tend to pick up a ministry authentication on top of that. None of those marks makes any statement whatsoever regarding English.
The distinction really is that simple, and worth stating bluntly. Every seal listed above speaks to the origin of the paper: who signed, in what capacity, under which office's authority. Whether the English pages behind it are complete and faithful is a separate question, and it is the only question the American recipient is actually asking. A certified Mongolian translation prepared for US use is therefore a self contained instrument: every page rendered into English in full, seal text and signature blocks included, issued with a dated declaration in which an identified individual attests to command of the two languages and states that no part of the original was left out. Three readers judge that declaration, and each of them reaches for a different yardstick: the USCIS filing rule, the evidentiary custom of a federal district, or whatever a state court counter has been instructed to enforce. An Ulaanbaatar seal assists with none of them.
Clients also ask whether a Mongolian notary should be involved at all, and the honest answer turns entirely on where the document finishes its life. Where a matter concludes in the United States, a notarial stamp obtained in Ulaanbaatar adds nothing, and whoever pays for one has usually purchased a delay. A person is identified by the father's name, placed first and inflected into the genitive, followed by the given name, so the man recorded at home as Batyn Dorj turns up in a US filing as Dorj Bat, Bat Dorj or Dorj B. depending on which clerk typed it. A clan name was reintroduced by law in the late 1990s and appears on some identity documents while older records carry none. The practical result is that a passport, a university diploma and a share certificate belonging to one client can read as three different people to a USCIS officer, a title company or a bank compliance team.

Birth, marriage, divorce and death records come out of the state registration offices, and the national identity card sits beside them as the document that proves who somebody is. For a family petition or a consular set, every foreign language page has to appear in English in full rather than in summary, and the certificate and the card have to agree with each other on the name.
