NDA Translation

NDA Translation Services

The NDA is the first contract of every relationship worth having, and usually the most urgent: someone wants to talk tomorrow, and the confidentiality agreement must exist tonight, in two languages, saying exactly the same thing in both. Jurilingua translates NDAs and confidentiality agreements in more than 80 languages at the speed deals start and with the precision secrets deserve.

Confidentiality Agreement Translation, by People Bound by Them Daily

There is a pleasing symmetry in this specialty: a firm whose entire existence depends on keeping client secrets, translating the agreements that keep secrets. NDA, confidentiality agreement, CDA, secrecy undertaking, the names vary and the architecture repeats, and this desk has rendered that architecture across languages since 1984. Our own linguists work under standing confidentiality obligations of exactly the kind we translate, which produces an unusual advantage: translators who understand these clauses from the inside, as promises they personally live under.

The machinery matches the rest of the firm, and stands up to checking. Legal translators only, second-specialist revision on everything, the workflow documented for anyone curious via our methodology, credentials laid out among our memberships and accreditations, and a 4.8 out of 5 average from clients whose names, fittingly, we do not drop. Quotes arrive in writing within 30 minutes, and for the classic NDA emergency, a call tomorrow, a signature needed tonight, the rush lane exists precisely because we know how these documents are born.

The Clauses That Decide Whether Silence Is Enforceable

An NDA's strength is set by a handful of definitions, and translation tests every one. The definition of confidential information draws the boundary of the whole agreement: too narrow in translation and protection shrinks, too broad and courts in some jurisdictions refuse to enforce it at all. The carve-outs, publicly known, independently developed, rightfully received, lawfully compelled, are precision instruments each legal system phrases its own way, and rendering them loosely gives the receiving party exits nobody negotiated. Permitted use and permitted recipients clauses decide who may see what for which purpose, and the difference between may and must survives or dies in the translator's hands.

Then come duration and remedies. Terms and survival periods must keep their exact arithmetic, particularly where trade secrets are meant to stay protected beyond the agreement's life. Injunctive relief language, the acknowledgment that money cannot fix a leak, has to arrive in terms the destination court recognizes, and mutual versus one-way structures must stay exactly as symmetrical as drafted. These are small clauses with large jobs, and our second reviewer reads them the way opposing counsel eventually will.

Secrecy Law Differs by Border, and the Translation Must Know It

Confidentiality is legislated differently around the world. American practice leans on trade secret statutes and injunction-friendly courts; other systems route the same protection through unfair competition law, civil codes or specific secrecy acts, each with its own vocabulary and its own view of what a contract may demand. An NDA translated without that awareness can invoke remedies the destination court does not offer or omit the formulas it expects. Our translators work between legal systems, keeping the drafter's protections functional in the target jurisdiction's terms and flagging, rather than hiding, the points where the systems genuinely diverge.

Employment adds its own layer, since confidentiality obligations woven into hiring paperwork face enforceability limits that vary sharply by jurisdiction, terrain covered alongside our employment contract translation work. Cross-border R&D collaborations, manufacturing arrangements and university partnerships each stress different clauses of the same document, and four decades of that variety is precisely the training data our human specialists run on.

China deserves the sidebar experienced manufacturers already expect: the NNN agreement. Companies sourcing there learned that a classic NDA guards against disclosure while the practical risks are use and circumvention, a factory quietly making your product for itself or slipping around you to your customers. The NNN structure, non-disclosure, non-use, non-circumvention, answers that reality, typically drafted for enforceability in Chinese courts and frequently governed by Chinese law with the Chinese text controlling. We translate and back-translate these instruments so American principals know precisely what the controlling version says, and render the same discipline for analogous structures in Vietnam, India and other sourcing markets where the local text is the one that bites. A confidentiality strategy is only as strong as the version a local judge will read; we make sure you have actually read it too.

Where NDAs Come From, and Where They Rush To

The NDA is every process's opening act. Deal-making generates them by the folder: buyer NDAs in auctions, clean team agreements, the confidentiality undertakings that precede every data room, the pipeline running onward through our M&A translation desk and its due diligence counterpart. Technology and licensing negotiations open with mutual NDAs before a single specification changes hands, the prelude to the work of our licensing translation team. Suppliers, contractors, consultants and vendors sign them by the batch; startups pitch under them; and joint bids assemble consortiums of them, each member in its own language.

Because NDAs open doors, they are always needed before the door opens, and our operations respect that arithmetic. Standard NDAs turn around same day or overnight in most language pairs; template NDAs are translated once and personalized endlessly at delta cost; and counterparty NDAs arriving in foreign languages are rendered into English fast enough for your counsel to mark up before the meeting they were written for. The first document of the relationship should never be the reason the relationship starts late.

Confidentiality Beyond the Standalone NDA

The freestanding NDA has cousins embedded everywhere. Confidentiality articles live inside supply agreements, licenses, service contracts, letters of intent and settlement agreements, often doing heavier work than a standalone would, because they interact with the surrounding contract's definitions and remedies. Settlement confidentiality deserves particular care: the silence is frequently the deal, and a mistranslated non-disclosure or non-disparagement term reopens exactly the fight everyone paid to close. Board and advisor confidentiality undertakings, clean team protocols in transactions, and the secrecy schedules attached to government and defense contracts round out a family far larger than its most famous member.

We translate embedded confidentiality with the host agreement's full context, one glossary across the master contract and its secrecy provisions, so defined terms mean identically in both places. And when clients audit their exposure, we review contract portfolios for what confidentiality obligations they have actually accepted across languages, an exercise that reliably produces surprises and occasionally produces gratitude. Secrecy is a system, not a single document; the translation should treat it that way.

When the Secret Gets Out: NDAs in Dispute

Sometimes the agreement fails at its one job, and the aftermath is intensely multilingual. Proving breach means assembling what was disclosed, when, to whom and under which clause, from emails, meeting notes, data room logs and the NDA itself, frequently across two or three languages. Emergency injunction practice compresses all of it into days: courts moving at leak speed need certified translations at leak speed, and the difference between Tuesday and Friday can be the difference between contained and public. Our rush machinery, built for the NDA's birth, serves its funerals equally well.

The desk prepares breach files to evidentiary standard: the agreement's certified rendering, the disputed disclosures translated with registers preserved, and comparative analysis when opposing parties wave competing translations of the same clause. Where matters proceed, the file moves seamlessly into the machinery of our litigation translation practice with terminology intact. Most NDAs never see this chapter, which is the point of writing them well; for the few that do, it helps enormously that the translator understood the stakes back when everyone was still smiling.

Secrets Kept in Eighty Languages

NDA traffic follows partnership geography: Chinese NDAs guarding manufacturing specifications, German engineering collaborations, Japanese joint development programs, Korean technology partnerships, French negotiations across luxury and aerospace, and Hebrew agreements from a startup nation whose every pitch begins with one. The rest of the roster stands by for wherever your next conversation starts.

Serving the Rooms Where Deals Begin

Confidentiality paperwork reaches us from every industrial map pin: Detroit, where supplier NDAs circulate faster than prototypes, Greenville's international manufacturing corridor, Tulsa's energy technology ventures, and Baltimore's biotech and defense research community. Wherever the conversation is about to happen, the NDA gets there first, and so do we.

NDA Translation FAQ

How fast can you translate an NDA?

Standard NDAs move same day or overnight in most major pairs, because we know exactly when these documents are needed: right before the meeting. The rush option is priced transparently in your 30-minute quote, and the full two-specialist review still applies at speed.

Is an NDA the same as a confidentiality agreement or CDA?

Functionally yes: NDA, confidentiality agreement and CDA name the same instrument, with mutual and one-way variants underneath. Whatever your document calls itself, the clauses that matter, definitions, carve-outs, duration, remedies, get the same specialist treatment here.

The other side sent an NDA in their language. Can you turn it around before we sign?

Quickly enough for counsel to review and redline before your meeting. Inbound NDAs are rendered into English with foreign legal concepts flagged, so you know precisely what obligations you are accepting, not approximately. Signing blind is the one NDA risk with no clause against it.

Can we translate our template once and reuse it?

Best practice, and cheap: the template is translated and locked, then each counterparty version costs only the personalized fields. Companies signing dozens of NDAs a year cut both cost and risk this way, since every signature sits on the same verified text.

Do you translate bilingual NDAs with both versions binding?

Yes, in side-by-side formats, and with extra care, since equally authentic versions make any discrepancy a latent dispute. We also add or translate prevailing language clauses so the parties decide, in advance and on purpose, which text controls if a gap ever appears.

Will the confidentiality clauses actually be enforceable abroad?

Translation preserves your drafting faithfully and flags where the destination's law treats a mechanism differently, indefinite terms, penalty-style remedies, injunction language, so counsel can adapt knowingly. A translation that hides those frictions serves nobody; ours surfaces them.

Who at Jurilingua sees the confidential context in our NDA?

Two named professionals, the translator and the reviser, both under standing confidentiality duties, on encrypted systems, with your own NDA countersigned first whenever you wish. We happily sign the very document type we translate; it would be strange not to.

What does NDA translation cost?

Most NDAs are short, so most quotes are flat and modest, with template-plus-delta pricing for repeat signers and the published ranges on our pricing page framing everything honestly. It is the least expensive document on this site to translate, and among the costliest to translate badly.
