Why the First Page We Receive Is Almost Always a Deed
Indonesian corporate law does not run on registry forms. It runs on deeds. Incorporating a PT, raising its capital, replacing a director, recording a shareholders resolution: each of those acts is drawn up by a notary as an akta notaris, in a fixed notarial format, and the deed itself is the operative instrument rather than a summary of one. The Ministry of Law and Human Rights then issues a ministerial decision, the SK, through its AHU system, and that decision is what makes the change effective. An American lawyer used to a two page certificate of incorporation opens a thirty page Indonesian deed and finds recitals, an attendance record, the articles read out in full and a notarial closing formula. All of it is legally load bearing.
The first thing to reach us is nearly always the pairing of deed and SK, scanned at whatever resolution the client's Jakarta counsel had on hand, the notary's stamp bleeding through from the reverse of the sheet. Sometimes a translation is already attached, produced cheaply on the assumption that Bahasa Indonesia is an easy language to read. Those drafts are where the damage starts. A translator who renders hak tanggungan as a mortgage, or treats a grosse akta as an ordinary certified copy, has quietly changed what the document does. Ordinary litigation produces Pengadilan Negeri decisions, appellate rulings and Mahkamah Agung judgments that run short, lean hard on statutory articles and offer far less reasoning than an American judge would supply. Indonesia has an appointed sworn translator, the penerjemah tersumpah, and inside the country that appointment carries weight. A notary, a court registry or a ministry office wants the sworn translator's stamp and signature on a foreign language document before it will act, and a translation lacking that stamp is frequently refused outright. Clients who have dealt with Indonesian officialdom arrive assuming the reverse must also be true, that an American filing needs the same stamp. It does not. Nothing in US practice recognises the appointment, and paying to obtain it for a document that will only ever be read in Chicago is money spent on decoration.
What the source document physically carries is a separate question, and worth settling before anything is couriered. A Dukcapil certificate carries the registrar's seal and signature. A deed carries the notary's seal, the notarial number and often a ministry authentication sticker added afterwards. Whether the receiving American body wants to see that layer at all depends on what it is deciding, and we tell you which of your pages need it before you start chasing offices in Jakarta. A certified Indonesian translation prepared for US use is a different object again: a complete English version of every page, released with a dated accuracy statement identifying the translator and the basis of their competence.
USCIS holds that statement up to a single yardstick, the rule printed in its own filing instructions, and to nothing further. A federal judge weighs it instead against the evidentiary custom of the district, while a state clerk applies whatever the local bench has told that office to require. None of the three asks for a Jakarta stamp. Dutch Ghosts in the Civil Code, and a Language That Looks Easy
Indonesian private law grew out of the Burgerlijk Wetboek, the Dutch civil code applied in the colonial period and never wholly replaced. The vocabulary came with it, and it carries meanings no dictionary will hand you. Hak tanggungan is a registered security right over land, created and ranked under the land law, and calling it a mortgage imports American assumptions about foreclosure that simply do not hold. Hak guna bangunan is a right to build on land held by someone else, granted for a fixed term and renewable, which is neither a leasehold nor a fee. A grosse akta is an instrument carrying direct executory force, so translating it as a certified copy strips out the one feature that made anybody ask about it.
Bahasa Indonesia has no verb conjugation for tense, no grammatical gender, and an alphabet any American reader can pronounce on sight. That surface simplicity is exactly why weak translations of PT deeds circulate so freely. The difficulty is not in decoding the sentences. It is in knowing that a routine looking phrase inside a notarial deed is a term of art with a statutory definition behind it. Meaning also lives in the affixes: one root yields a party, an act, an obligation and a state depending on what is attached to it, and a translator working at speed will flatten four distinct concepts into a single English word. Indonesian legal document translation therefore starts with recognising which phrases are terms of art, and only then with reading pace.
Names are the other recurring trap in filings. Many Indonesians hold a single name with no surname at all, while US forms insist on a family name field, so a registry entry, a passport and a petition can disagree about whether that one name belongs in the first box or the last. Javanese and other regional naming patterns add honorifics and titles that form no part of the legal name. At intake we settle on one convention, tied to whatever the governing identity document says, then apply it without exception across the whole set and list the competing spellings in a note from the translator instead of quietly picking a winner. Regional language turns up as well: witness statements and older village records sometimes arrive in Javanese, Sundanese or Madurese instead of the national language, and those go to translators who genuinely work in that variety.
Dukcapil Records, the Kartu Keluarga and the Officer Who Reads Them
Civil records in Indonesia are issued by Dukcapil, the population and civil registration service, at district level. A family petition normally rests on three of its outputs: the akta kelahiran, the birth certificate; the KTP, the national identity card carrying the resident identity number; and the kartu keluarga, the family card listing everyone in the household alongside their stated relationship to its head. That last document has no American counterpart and is often the most useful page in the file, because it puts a whole household on paper in a way no US record does. It also has to be handled carefully, since the relationship column uses categories an immigration officer will read as literal claims of parentage.
Older records are where the real work sits. Certificates reissued in recent years look nothing like those from the 1970s, transliteration of Chinese Indonesian names shifted under successive naming policies, and one person may hold documents issued before and after a legal name change with no cross reference between them. USCIS treats discrepancies as questions, and the answer belongs inside the file rather than in a response filed two months later. Family matters divide by religion, which regularly surprises American counsel. A Muslim divorce is decided by the Pengadilan Agama, the religious court, and the decree it issues is the document a US judge or an immigration officer will be shown when a remarriage or a petition depends on that marriage having ended. Non Muslim divorces run through the Pengadilan Negeri instead.
